Use of this Software (“Software”) is governed by the terms and conditions defined in this Software Licensing Agreement (“Agreement”). You will be deemed to understand and agree the Agreement by downloading or installing the Software.
Article 1: Rights
You can obtain a license to use the Software only for the purpose of using the product that Panasonic Projector & Display Corporation (“we” or “us”) provide or sell. Patent rights, copyrights and all other rights of the Software belong to us or third parties will not be transferred to you.
Article 2: Restrictions on Use by a Third Party
You may not transfer or allow any third party, to use or copy the Software, whether free of charge or not.
Article 3: Restrictions on Copying the Software
You may make a single copy of the Software solely for backup purposes only.
Article 4: Computer
You may install and use the Software on one or more computer owned or managed by you.
Article 5: Reverse Engineering, Decompiling or Disassembly
You may not reverse engineer, decompile, or disassemble the Software. We shall not be bound by warranty for any defects in the Software caused by your reverse engineering, decompiling or disassembly of the Software. Furthermore, we or its distributors or dealers will not be responsible for any damage to you caused by your reverse engineering, decompiling or disassembly of the Software.
Article 6: After-sales Service
If a problem should occur with the Software while Licensee is using the Software, you should notify us of the problem. We will make a reasonable effort to notify you of necessary information to solve the problem to our knowledge including the way to correct errors in the program or the alternative or improved method for using the Software. Furthermore, the Software is subject to revision without prior notice.
Article 7: Disclaimer
Whether with or without extension or expansion of license by purchasing key codes, our liability with respect to this software is limited to its after-sales service provided in article 6 herein. We, any of its distributors or dealers shall not be liable, to the extent permitted by law, for any damage suffered by you or its customer, either directly or through claims from a third party, arising from or in connection with use of the software, disability to use, or any error of the software. The software is provided to you “as is”, and we, any of its distributors or dealers specifically disclaims any warranty of fitness for a particular purpose, and does not warrant the accuracy of functions or results of the software, or that the software will be free from program errors. Furthermore, there is no implied warranty of non-infringement of intellectual property right of any other third parties. We, any of its distributors or dealers does not make any warranties for use of this software for any purpose other than for applications associated with the product that we provide or sell. We, any of its distributors or dealers shall not be liable for any error occurred during your download of the software.
Article 8: Change to Specifications of the Software
We may change the information in the specifications and related documents for the Software without prior notice in the future.
Article 9: Export Control
You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other applicable export laws, restrictions or regulations (collectively the "Export Laws"). In addition, if the Software is identified as export controlled items under the Export Laws, you represent and warrant that you are not a citizen, or otherwise located within, an embargoed nation (including without limitation Iran, Syria, Sudan, Cuba and North Korea) and that you are not otherwise prohibited under the Export Laws from receiving the Software. All rights to Use the Software are granted on condition that such rights are forfeited if you fail to comply with the terms of this Agreement.
Article 10: Legal System and Change of Terms
This document shall be governed by and construed and enforced in accordance with the laws of Japan, without regard to its conflict of laws provisions. We may, in its discretion, change the terms of the Agreement in accordance with applicable law in the future.
Article 11: Conflict Resolution
Any dispute arising out of or in relation to the Software shall be subject to the exclusive jurisdiction of the Osaka District Court of Japan.
